Welcome to True Willow. By engaging with our services, you agree to the following terms and conditions. These terms are designed to ensure clarity, fairness, and mutual understanding between our consultancy and our clients. Please read them carefully.
Definitions
"True Willow" refers to our consultancy firm, including its employees, agents, and affiliates. "Client" refers to the individual, organization, or entity engaging True Willow’s services. "Services" refers to the data consulting, analytics, reporting, and any other offerings provided by True Willow.
Scope of Services
True Willow will provide services as outlined in a written agreement, proposal, or contract signed by both parties. Any additional work outside the original scope will require written approval and may incur additional fees. The Client is responsible for providing accurate and complete information necessary for service delivery.
Fees and Payment
All fees for services will be detailed in the agreement or proposal. Payments are due as outlined in the agreement, with late payments subject to a fee. True Willow reserves the right to pause or terminate services for non-payment.
Confidentiality
Both parties agree to maintain the confidentiality of any sensitive information shared during the engagement. True Willow will not disclose the Client’s data to third parties without prior written consent, except as required by law. This confidentiality obligation will remain in effect even after the termination of services.
Intellectual Property
True Willow retains ownership of any proprietary methods, templates, or tools used during the engagement. The Client retains ownership of their data and any deliverables provided by True Willow upon full payment. Deliverables are for the Client’s use only and may not be shared, resold, or distributed without True Willow’s prior consent.
Liability
True Willow provides services on an "as-is" basis and does not guarantee specific outcomes unless explicitly stated in the agreement. True Willow’s liability for any claim arising from the engagement will not exceed the total fees paid by the Client. True Willow is not responsible for indirect, incidental, or consequential damages.
Termination
Either party may terminate the agreement with written notice. Upon termination, the Client will pay for all services rendered up to the termination date. Confidentiality obligations will survive termination.
Amendments and Modifications
These terms may be updated periodically. Clients will be notified of any changes, and continued engagement with True Willow constitutes acceptance of the updated terms.
Governing Law
These terms and conditions are governed by the laws of Trinidad and Tobago. Any disputes will be resolved in the courts of Trinidad and Tobago.
